GENERAL TERMS AND CONDITIONS RESELLERS COMMISSION

1. CONTRACTUAL TERMS AND CONDITIONS
1.1 These General Terms and Conditions (GTC) apply between AMiGAS Sandals (hereinafter AMiGAS) and potential resellers and regulate the conditions under which resellers can sell AMiGAS products on a commission basis.

2. COMMISSION AGREEMENT
2.1 The reseller shall receive an agreed commission for the sale of AMiGAS products in accordance with the agreed terms and conditions.
2.2 The amount of the commission and the payment terms are set out in a separate commission agreement. These General Terms and Conditions are an integral part of the agreement between AMiGAS and the reseller.

3. RESERVATION OF TITLE
3.1 The delivered sandals remain the property of AMiGAS until they are sold.

4. ORDERS AND SALES
4.1 Orders are placed via the Excel file provided by AMiGAS. All orders are reviewed and confirmed by AMiGAS. If the desired sandals are not in stock, AMiGAS will make a possible suggestion.
4.2 The Reseller is obliged to process all orders properly and to sell the products in accordance with the agreed terms of sale and to keep a written record of the sales.

5. PAYMENTS
5.1 The Reseller shall pay AMiGAS the agreed commission for products sold in accordance with the terms of the Commission Agreement.
5.2 Payments shall normally be made monthly unless otherwise agreed in writing.

6. COMMISSION STATEMENT
6.1 The Reseller is responsible for the proper invoicing of the products sold and the calculation of the commission due in accordance with the terms of the Commission Agreement.
6.2 AMiGAS shall provide the Reseller with all necessary information,  so that accurate billing can be guaranteed.
6.3 The Reseller is obliged to inform AMiGAS regularly or upon request about the products sold and the corresponding commissions and, if necessary, to provide a detailed list of sales.
6.4 AMiGAS reserves the right to review the Reseller’s invoices and to make corrections in case of discrepancies.

7. WARRANTY AND LIABILITY
7.1 AMiGAS checks that the products delivered to the Reseller are free from material and manufacturing defects.
7.2 AMiGAS’s liability is limited to direct damages and does not extend to consequential damages or lost profits.

8. APPLICABLE LAW AND JURISDICTION
8.1 These General Terms and Conditions are subject to Swiss law.
8.2 Any disputes arising out of or in connection with these General Terms and Conditions shall be subject to the jurisdiction of the court at the registered office of AMiGAS.
8.3 AMiGAS reserves the right to change these Terms and Conditions at any time. The changes will be published on the website and will take effect upon posting.

9. STORAGE AND CUSTODY OF GOODS
9.1 The Reseller undertakes to properly store the products delivered by AMiGAS and to protect them from theft, damage or loss.
9.2 The Reseller is responsible for storing the Products in suitable premises and in compliance with the relevant storage conditions.

10. RETURNS AND COMPLAINTS
10.1 The Reseller undertakes to process returns and complaints from customers in accordance with AMiGAS’s general return and complaint guidelines.
10.2 The Reseller is responsible for properly returning defective or damaged products and, if applicable, for arranging a refund or exchange.

11. LIABILITY FOR LOSS OR DAMAGE
11.1 The Reseller shall be liable for any loss or damage to the Products that occurs during storage, transport or sale, unless such loss or damage is due to the acts or omissions of AMiGAS.
11.2 The Reseller is obliged to inform AMiGAS immediately of any loss or damage to the Products and, if necessary, to pay compensation.

12. INSURANCE
12.1 The Reseller is advised to take out appropriate insurance for its inventory to protect itself against loss or damage.
12.2 AMiGAS shall not be liable for any loss or damage to the Reseller’s products that is not due to AMiGAS’s negligence or willful misconduct.


COMMISSION AGREEMENT 2024

DELIVERY CONDITIONS

1. ORDER WINDOW
Resellers can place their orders each February using the Excel provided by AMiGAS.

2. DELIVERY TIME
Delivery usually takes place at the beginning of May.

3. DELIVERY COSTS
Delivery costs are calculated based on distance and order quantity. You will receive more detailed information about delivery costs during the ordering process.

4. DELIVERY ADDRESS
When ordering, please provide the store's exact delivery address, including any specific delivery instructions.

5. DELIVERY TIME WINDOW
To ensure a smooth delivery, we recommend being available at the delivery location during normal business hours. If necessary, we can also arrange special delivery slots.

6. ACCEPTANCE OF DELIVERY
Please inspect the delivered sandals immediately upon receipt for any damage or deviations from the order. If you find any problems, please contact us immediately so we can find a solution.

7. STORAGE OF THE DELIVERY
We recommend storing the delivered sandals in a suitable place in the store to ensure their quality and integrity until they are handed over to customers.

8. RETURN OF GOODS
The reseller undertakes to return any unsold AMiGAS to our warehouse in September each year. The current Swiss Post rates apply to shipping costs.

PAYMENT TERMS

1. PAYMENTS
The The reseller is obliged to submit a monthly invoice to AMiGAS for the sandals sold and to transfer the sales proceeds less the commission.

2. COMMISSION
The reseller receives a commission of 40% on the sales price for all AMiGAS sandals sold.

3. CURRENCY
All prices are quoted in Swiss francs.
